1. Definitions

For the purposes of these Terms and Conditions:

• "Aftermarket Supplier" means an individual or business supplying new (non-genuine) replacement car parts or products through the Platform that are not sourced from original manufacturers or recyclers.
• "Auto Lookup" refers to the optional auto-filling vehicle identification and details feature available within the Platform.
• "Business Profile" means the information provided by a User upon registration on the Platform, including business name, address, email, and other relevant details.
• "Buyer" means a User (Repairer) seeking to purchase car parts through the Platform.
• "Commission Agent" refers to an individual or business who refers, introduces, or recruits new Users to the Platform in exchange for a commission or other agreed benefit.
• "FAB" means Find And Buy Used Car Parts, the brand and trading name of the Platform.
• "Owner" means Find And Buy Used Car Parts Pty Ltd, the legal entity that owns, manages, and operates the Platform.
• "Parties" refers collectively to Buyers, Sellers, and any Users engaged in transactions through the Platform.
• "Platform" means the Find And Buy Used Car Parts online system, website, or mobile application used for the sourcing and supply of used, aftermarket, and reconditioned car parts.
• "Recycler" means any licensed motor vehicle recycler — wrecker, breaker, dismantler, car scrapyard, car junkyard, auto salvage yard — registered to use the Platform to supply used and reconditioned car parts.
• "Repairer" means a licensed motor vehicle repair business registered to use the Platform to source car parts.
• "Seller" means a User (Recycler or Aftermarket Supplier) offering car parts for sale through the Platform.
• "Subscription Fee" means the monthly amount payable by Repairers for use of the Platform as outlined in these Terms and Conditions.
• "User" means any individual, business or entity registered to use the Platform, including Repairers, Recyclers, Aftermarket Suppliers, and Commission Agents.

2. Platform Access and Account Security

2.1 Eligibility

Any motor vehicle Repairer or Recycler wishing to join the Find And Buy Used Car Parts platform (the "Platform") must be a licensed business operating within the automotive industry in the country of operation.

2.2 Prohibited Use and Sharing

Users of the Platform (including Repairers, Recyclers, Aftermarket Suppliers, and Commission Agents) agree not to copy, duplicate, reproduce, sell, export, or otherwise share any portion of the services provided by the Platform.

2.3 Account Security

Log-in credentials and access details must not be shared outside the address listed in the User's Business Profile. Each account is intended for use solely by the registered business.

3. Payment and Subscription Terms

3.1 Registration of Payment Method

For Repairers, a financial institution account or valid payment card must be registered with Find And Buy Used Car Parts Pty Ltd (the "Owner") to facilitate payment of the Subscription Fee prior to the completion of any free trial period. Failure to register an account or payment card within this timeframe will result in suspension of access to the FAB Platform.

3.2 Complimentary Auto Lookups

Upon sign-up, each Repairer will be entitled to ten (10) complimentary Auto Lookups. Following the use of these complimentary lookups, continued access to the Auto Lookup feature will only be available where a valid account or payment card has been registered with the Owner of the Platform. A nominal fee per lookup will thereafter apply and be charged on a monthly basis.

3.3 Subscription Fees and Payment Schedule for Repairers

The monthly Subscription Fee for Repairers is $110 (including GST). The fee is due on the 1st of each month and payable one month in advance. Failure to make payment on the due date will result in suspension of access to the Platform and will require the Repairer to contact support via email for reinstatement. Reactivation is subject to the Platform Owner's approval and may incur an administrative reactivation fee.

3.4 Subscription Fees for Recyclers and Aftermarket Suppliers

For Recyclers and Aftermarket Suppliers, there is no fee for using this Platform.

3.5 Subscription Fee Changes

Any Subscription Fee changes will be communicated with a minimum of 3 months' notice to Users via email, to the address listed in their User's Business Profile, and/or through FAB Platform/website notifications.

3.6 Third-Party Service Fees

Any fees for using third-party services such as the "Auto Lookup", which refers to the optional auto-filling vehicle identification and details feature available within the Platform, are controlled by the third-party provider and may change without notice.

4. Billing and Cancellation

• All applicable Subscription Fees and Auto Lookup charges will be billed separately and monthly to the registered account or payment card. Fees and charges will be processed automatically at the beginning of each billing cycle, and paid invoice receipts will be emailed to Repairers upon confirmation of payment.
• Repairers may cancel their subscription at any time by providing written notice via the FAB platform or through an authorised support channel.
• Cancellation will take effect at the end of the current billing cycle, and no refunds will be issued for partially used periods or unused Auto Lookups.

5. Transactions Between Users

5.1 Business Dealings

The Owner of the Platform shall not be liable in any way whatsoever for any communications, transactions, or business dealings conducted between Users or any other parties through or in connection with the Platform. All such dealings are made solely between the parties involved, and the Owner of the Platform makes no representations, guarantees, or warranties regarding the quality, legality, or suitability of any parts, products, or services offered or exchanged through the Platform.

5.2 Payment Responsibility

It is solely the Seller's responsibility to obtain payment from the Buyer for any parts sold, in accordance with the terms agreed upon between the two parties, whether payment occurs before or after dispatch of the parts. The Owner of the Platform is not, in any way whatsoever, a party to, or responsible for, the payment arrangements, collection, or fulfilment of any financial obligations between Buyers and Sellers.

6. Dispute Resolution Between Users

• Any disputes, claims, or disagreements arising between Buyers and Sellers in connection with transactions, communications, or dealings conducted through the Platform are solely the responsibility of the parties involved. The Owner of the Platform is not obligated to mediate, resolve, or become involved in any such disputes.
• Users acknowledge and agree that any legal action or claim arising out of or relating to a transaction conducted through the Platform must be made directly between the Buyer and the Seller, without involving the Owner of the Platform in any capacity.

7. No Agency or Partnership

The Owner of the Platform operates solely as a provider of an online platform that facilitates communication and connection between Buyers and Sellers. Nothing contained in these "Terms and Conditions" shall be construed to create any partnership, joint venture, employment, or agency relationship between the Owner of the Platform and any User. Users acknowledge that the Owner of the Platform does not act as an agent, representative, broker, or intermediary for any Buyer or Seller, and has no authority to bind, negotiate, or make representations on behalf of any User or third party.

8. User Responsibilities

By using the Platform, Users agree to:

1. Provide accurate information in their listings and profile.
2. Use the Platform lawfully and professionally.
3. Be responsible for all payments and transactions with other Users.
4. Keep account credentials secure.
5. Follow any Platform rules or policies.

Failure to comply with these responsibilities may result in suspension or termination of access to the Platform at the Owner's discretion, without liability.

9. Privacy and Data Protection

• By accessing or using the Platform, Users consent to the collection, storage, and use of their personal and business information as provided during registration and throughout their use of the Platform.
• FAB only collects information necessary to operate and improve its services, including business contact details, vehicle information, and transaction data. Such information may be shared with other Users within the Platform strictly for the purpose of facilitating legitimate business transactions.
• Users may access, update, or request deletion of their personal information at any time by contacting FAB's support team. The Owner implements reasonable administrative, technical, and physical safeguards to protect User data against unauthorised access, misuse, or disclosure. FAB will not sell, rent, or share personal information with any third party for marketing or unrelated commercial purposes without the User's explicit consent.

10. Suspension or Termination of Access

The Owner of the Platform reserves the right, at its sole discretion, to suspend, restrict, or terminate any User's access to the Platform at any time, without prior notice or liability, for any reason or no reason whatsoever, including (but not limited to) any breach of these Terms and Conditions.

11. Limitation of Liability

To the maximum extent permitted by law, the Owner of the Platform shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with:

1. The use or inability to use the Platform;
2. Any transactions, communications, or dealings between Users or third parties through the Platform;
3. Any errors, omissions, or inaccuracies in listings, content, or information provided by Users; or
4. Any suspension, restriction, or termination of access to the Platform.

The limitations in this section apply even if the Owner of the Platform has been advised of the possibility of such damages.

12. Indemnification

Users agree to indemnify, defend, and hold harmless the Owner of the Platform, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or relating to:

1. Their use of the Platform;
2. Any breach of these Terms and Conditions;
3. Any violation of applicable laws or regulations; or
4. Any actions, statements, or conduct of the User in connection with the Platform.

13. Governing Law and Jurisdiction

• These Terms and Conditions, and any use of the Platform, shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles.
• Users agree that any disputes, claims, or proceedings arising out of or in connection with these Terms and Conditions or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
• Nothing in this clause prevents the Owner of the Platform from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its rights or property.

14. Intellectual Property & Copyright

14.1 Ownership

All content, materials, images, logos, graphics, text, software, databases, and functionality on the Platform are the exclusive property of Find and Buy Used Car Parts Pty Ltd, unless otherwise stated.

14.2 Copyright Protection

All materials on the Platform are protected under the Copyright Act 1968 (Cth) and other applicable intellectual property laws.

14.3 Restrictions

You must not, without prior written consent:

• reproduce, copy, republish, or adapt Platform content
• distribute, transmit, or publicly display any content
• reverse-engineer or replicate the design or structure of the Platform

The Company reserves all rights not expressly granted under these Terms.

15. Amendments

Find And Buy Used Car Parts Pty Ltd reserves the right to update these Terms, (by adding, deleting or changing terms), at its sole discretion. Any updates to these Terms will be notified by email to Users and notification over the Platform. Updates to the Terms will be effective immediately upon publication. Continued use of the Platform after publication indicates the User's acceptance of the revised Terms.
